I. Reorganization of a legal entity in Azerbaijan (merger by accession)
In our previous articles, we discussed the procedures for incorporating a legal entity and making amendments to its state registration records.
Pursuant to Article 55.1 of the Civil Code of the Republic of Azerbaijan, a legal entity may be reorganized (through merger, merger by accession, division, separation or transformation) by a resolution of its founders (participants) or the body authorized under its charter.
Accordingly, a legal entity in Azerbaijan may be reorganized in the following forms:
- - Merger by accession;
- - Merger;
- - Division;
- - Separation;
- - Transformation.
As can be seen, Azerbaijani legislation provides for several forms of reorganization, each involving different legal procedures and serving different business objectives.
This article focuses solely on merger by accession. The remaining forms of reorganization will be discussed in separate publications.
Merger by accession is a form of reorganization whereby one legal entity ceases to exist and all of its rights and obligations are transferred to another legal entity.
II. Legislation governing merger by accession
The merger by accession procedure is primarily governed by the following legal acts:
- 1. Civil Code of the Republic of Azerbaijan;
- 2. Law of the Republic of Azerbaijan "On State Registration and the State Register of Legal Entities";
- 3. Law of the Republic of Azerbaijan "On State Duty".
According to Article 55.5 of the Civil Code, where a legal entity is reorganized through merger by accession, the reorganization is deemed completed from the moment the entry on the termination of the acceding legal entity is made in the State Register of Legal Entities.
Pursuant to Article 56.2 of the Civil Code, upon merger by accession, all rights and obligations of the acceding legal entity pass to the successor legal entity under the transfer deed.
III. Merger by accession procedure
As a general rule, the following documents are prepared and submitted as part of the merger by accession process:
- Application for amendment of the registration records (notarization is not required);
- Resolutions of the competent bodies of both legal entities approving the merger by accession;
- Transfer deed;
- A public announcement regarding the merger by accession, published in accordance with the applicable legal requirements.
No state duty is payable for the reorganization of a legal entity through merger by accession.
As a general rule, the submitted documents are reviewed by the State Tax Service of the Republic of Azerbaijan within five business days.
IV. When is merger by accession appropriate?
In practice, merger by accession is commonly used to optimize a company's corporate structure.
For example, it is frequently implemented to consolidate several companies within the same corporate group under a single legal entity, eliminate inactive or minimally operating companies from the corporate structure, simplify management and reduce administrative costs.
In addition, merger by accession plays an important role in ensuring business continuity, as it allows assets, existing contracts, rights and obligations to be transferred to the successor entity by operation of law, without the need to execute separate assignment agreements.
At the same time, the process may involve certain practical challenges. Preparing financial documentation and the transfer deed, identifying tax liabilities, reconciling assets and liabilities, and transferring contracts, licenses and other corporate documents to the successor entity may create an additional administrative burden. Therefore, careful planning and proper documentation are essential for the successful completion of the reorganization process.
