Registration of company changes: What You need to know

I. Introduction

After the establishment of a legal entity, various changes may occur in its registration details as a result of its ongoing activities. Such changes must be duly reflected in the state register in accordance with the legislation and submitted to the competent state authority.

II. Changes Subject to Registration

The following are subject to mandatory registration:

• Change of director;
• Change of registered address;
• Increase of charter capital;
• Decrease of charter capital.

III. Procedure for Registration of Changes

According to Article 9.2 of the Law of the Republic of Azerbaijan “On State Registration of Legal Entities and the State Register”, an application must be submitted to the registration authority of the Republic of Azerbaijan within no later than 15 days from the occurrence of the change.

The application must specify the change that has taken place and be accompanied by supporting documents confirming such change.

Once the application is submitted, the changes are registered within five (5) business days.

Pursuant to Article 20-1.1 of the Law of the Republic of Azerbaijan “On State Duty”, amendments to the state register are carried out free of charge.

IV. Liability

It should be noted that failure to notify the authority of changes in due time entails liability under Article 405 of the Code of Administrative Offences of the Republic of Azerbaijan.

In particular, according to the said Article:

• Officials are subject to a fine in the amount of 1,000 to 2,000 AZN;
• Legal entities are subject to a fine in the amount of 2,500 to 3,000 AZN.
